The Role
Mach’s legal team is seeking to hire a Legal Counsel to serve onsite in our Huntington Beach headquarters as a strategic legal partner, safeguarding our mission to develop and deliver next-generation defense platforms. As a member of Mach Legal, you will provide expert counsel on a wide range of legal matters, including government and commercial contracts and strategy, intellectual property, regulatory compliance, and corporate governance. Your work will ensure that Mach Industries operates with agility and integrity while maintaining a competitive edge in the fast-evolving defense technology landscape.
Key Responsibilities
This position may require access to information protected under U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). Please note that any offer for employment may be conditioned on authorization to receive software or technology controlled under these U.S. export control laws and regulations without sponsorship for an export license.
Mach participates in E-Verify and will provide the federal government with your Form I-9 information to confirm that you are authorized to work in the U.S.
The salary range for this role is an estimate based on a wide range of compensation factors, inclusive of base salary only. Actual salary offers may vary based on (but not limited to) work experience, education and training, critical skills, and business considerations. Highly competitive equity grants are included in most offers and are considered part of Mach’s total compensation package. The Role
Mach’s legal team is seeking to hire a Legal Counsel to serve onsite in our Huntington Beach headquarters as a strategic legal partner, safeguarding our mission to develop and deliver next-generation defense platforms. As a member of Mach Legal, you will provide expert counsel on a wide range of legal matters, including government and commercial contracts and strategy, intellectual property, regulatory compliance, and corporate governance. Your work will ensure that Mach Industries operates with agility and integrity while maintaining a competitive edge in the fast-evolving defense technology landscape.
Key Responsibilities
- Provide legal counsel and strategic guidance on government contracts, including Department of Defense (DoD) procurement processes, compliance with Federal Acquisition Regulations (FAR), and export control laws (e.g., ITAR, EAR).
- Draft, review, and negotiate contracts, agreements, and licensing arrangements with government entities, suppliers, partners, and customers to support Mach’s mission and operations.
- Draft, review, and negotiate contracts, agreements, NDAs, memoranda, and letters with commercial suppliers, vendors, and potential partners, including action related to joint ventures, acquisitions, co-use or co-production agreements, among others.
- Help develop and implement intellectual property strategy, including patent filings, trademark protection, and trade secret management, to safeguard Mach’s cutting-edge technologies and innovations.
- Ensure compliance with all applicable federal, state, and local laws, as well as defense-specific regulations, mitigating risks in a highly regulated industry.
- Advise on corporate governance, risk management, and employment law matters to support Mach’s growth and operational excellence.
- Collaborate with cross-functional teams to assess legal implications of new products, manufacturing processes, and business initiatives, enabling rapid yet compliant innovation.
- Manage external legal counsel and oversee litigation or dispute resolution as needed, protecting Mach’s interests with precision and foresight.
- Stay ahead of emerging legal and regulatory trends in the defense and technology sectors, proactively adapting Mach’s strategies to maintain a competitive advantage.
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
- 3+ years of legal experience, with a focus on government contracts, intellectual property, or regulatory compliance in a technology or defense-related field.
- Strong drafting, negotiation, and analytical skills, with a track record of delivering practical, business-oriented legal solutions.
- Ability to distill complex legal issues into clear, actionable advice for non-legal stakeholders.
- Experience working in fast-paced, innovative environments with a demonstrated ability to balance risk and opportunity.
- Exceptional communication and interpersonal skills, with the ability to build trust and collaborate across multidisciplinary teams.
- Ability to work onsite in our Huntington Beach headquarters and to travel as may be required.
- Direct experience with DoD contracts and defense technology companies.
- Proven expertise in navigating complex legal frameworks, including FAR, DFARS, ITAR, and other defense-specific regulations.
- Background in intellectual property law with hands-on experience managing patent portfolios for advanced technologies.
- Knowledge of aerospace or manufacturing legal challenges, including supply chain agreements and quality assurance standards.
- Prior in-house counsel experience at a technology firm, with a focus on scaling operations in a high-growth environment.
